Licence terms
Version 1.1, 29 October 2026. Plain-text version
In short
- You can use MarkupReporter free for development, testing and evaluation. PDFs made without a licence key carry a watermark.
- You need a paid licence to use it in production. Licences are for business use, and freelancers and self-employed developers are very welcome.
- Individual covers one named developer. Organisation covers every developer in your company.
- Pay once and you can keep using the versions released during your 12 months of updates for as long as you like. Renewing is optional.
- Deploy the applications you build to as many servers and users as you need, with no royalties.
- Don't share or publish your licence key, remove the watermark without a licence, or resell MarkupReporter itself.
This summary is here to help. The full terms below are what apply.
1. About these terms
These terms are a legal agreement between you and Chad Wheeler, a sole trader trading as MarkupReporter, based in Bourne End, Buckinghamshire, United Kingdom (“we”, “us”). They cover your use of the MarkupReporter software.
“You” means the person or organisation using the Software. If you accept these terms on behalf of a company or other organisation, you confirm you have authority to bind it, and “you” means that organisation.
You accept these terms when you install, use or buy the Software. If you don't agree to them, don't install or use it.
2. Definitions
- Software: the MarkupReporter NuGet package, including the report designer, rendering engine, documentation and any updates we provide.
- Application: software you develop that includes or uses the Software.
- Developer: a person who installs, configures or writes code against the Software, or designs reports with it while building or maintaining an Application.
- Production use: any use that isn't development, testing or evaluation. This includes generating PDFs for real business purposes or for your customers, and running the Software in a live or customer-facing environment.
- Licence key: the signed key we issue when you buy a paid licence.
- Update period: the 12 months of updates included with a paid licence, starting on the date of purchase, plus any renewal.
3. Free development use
Anyone may install and use the Software free of charge for development, testing and evaluation in non-production environments.
Without a licence key, PDFs generated by the Software include a watermark. You may not use the Software in production use without a paid licence, and you may not remove, hide or work around the watermark.
4. Paid licences
Paid licences are for business use only. By buying one, you confirm you're acting for the purposes of a trade, business, craft or profession. Freelancers, contractors and self-employed developers count as businesses and are welcome.
Individual licence. One named Developer may use the Software. The licence can be bought by that Developer or by their employer. You can change the named Developer if they leave your organisation or change role, or otherwise up to once every 6 months, by emailing us.
Organisation licence. Any number of Developers may use the Software, provided they're employees of, or contractors working for, the organisation named on the licence. It doesn't cover parent, subsidiary or sister companies unless we agree that in writing.
Each Developer may install the Software on as many of their own machines as they need.
5. Deploying your Applications
With a valid paid licence, you may deploy Applications that include the Software to any number of servers, environments and end users, without paying royalties. This includes web applications, software as a service, and installations at your customers' sites.
End users of your Application may use the report designer as part of your Application. You may not offer the Software, or a thin wrapper around it, as a standalone report designer, reporting component or developer tool, or otherwise build a product that competes with MarkupReporter.
If you build an Application for a client, the client may run and use that Application. Any of the client's own Developers who work with the Software need their own licence.
6. Licence keys
Your licence key identifies you as the licensee. Keep it confidential. You may include it in your Application's private configuration or deployment, but you may not publish it (for example in a public code repository), share it with anyone outside the licence, or use it for more Developers than your licence covers.
Licence keys are checked offline. The Software doesn't contact us to validate them. If a key is shared or misused, we may refuse to provide updates or issue a replacement key for that licence.
7. Updates and renewals
A paid licence includes all updates we release during the update period. Your licence is perpetual: you can keep using any version released during your update period for as long as you like, including after it ends.
Renewing is optional. A renewal costs 50% of the then-current price of your licence type and gives you 12 more months of updates, starting from the date you renew. Versions released after your update period ends aren't covered unless you renew.
8. Payment and refunds
Licences are sold through Stripe, our merchant of record. Stripe takes your payment, handles applicable taxes and issues your receipt and invoice, under its own terms of sale. These licence terms govern your use of the Software.
If the Software doesn't work for you, email us within 14 days of purchase for a full refund. When we refund a licence, it ends, and you must stop production use of the Software under that licence.
9. Things you may not do
Except as these terms allow, you may not:
- sell, rent, lease, sublicense or redistribute the Software on its own
- remove, disable or work around the licence check or the watermark
- modify the Software, or reverse engineer, decompile or disassemble it, except to the extent the law gives you a right to do so that can't be excluded by contract
- remove or change copyright notices in the Software
- use the Software in any way that breaks the law
10. Ownership
We own the Software and all intellectual property in it. These terms give you a licence to use it; they don't transfer ownership. We may use any feedback or suggestions you send us to improve the Software, without any obligation to you.
Your reports are yours. You own your report templates, your data and the PDFs you generate. We claim no rights over them.
11. Third-party components
The Software uses open-source components, each covered by its own licence. Those licences apply to those components, and nothing in these terms limits your rights under them. They include:
- PuppeteerSharp (MIT License)
- Scriban (BSD 2-Clause License)
- Dapper (Apache License 2.0)
- Bootstrap Icons (MIT License)
- A Chromium-based browser, used to render PDFs, which is downloaded or supplied separately and covered by its own licences
Full notices are included with the Software.
12. Your data and privacy
The Software runs entirely on your own systems and doesn't send us your data, your reports or usage information. You're responsible for the data you use in your reports, including any personal data, and for complying with data protection law when you do. Our privacy policy at markupreporter.com/privacy explains how we handle the personal data we receive when you buy a licence or contact us.
13. Support
We provide support by email at support@markupreporter.com, on a reasonable-efforts basis. We aim to reply promptly, but we don't guarantee response or fix times.
14. Warranty
We build the Software with care, but it's provided “as is”. To the extent the law allows, we don't give any warranty that it will be error-free, uninterrupted or fit for a particular purpose, and all implied terms are excluded.
You're responsible for checking that the reports and PDFs you produce are accurate and suitable for your needs before you rely on them, for example before you send invoices or legal documents to anyone.
15. Our liability
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that can't be limited or excluded by law.
Subject to that, we're not liable for any loss of profits, revenue, business, goodwill or data, or for any indirect or consequential loss, however it arises.
Subject to that, our total liability to you under or in connection with these terms is limited to the amount you paid for your licence in the 12 months before the claim. For free development use, it's limited to £100.
16. Ending these terms
You can stop using the Software at any time.
We may end your licence if you materially breach these terms and don't fix the breach within 14 days of us asking you to, or straight away if you share or publish your licence key or work around the licence check or watermark.
When your licence ends, you must stop using the Software and remove it from your systems and Applications. The sections on ownership, warranty, liability and general terms continue to apply.
17. General
- Changes. We may update these terms for future versions of the Software. The terms included with a version apply to your use of that version.
- Transfer. You may transfer your licence to a business that takes over your business or the relevant part of it, if you tell us in writing. Otherwise you need our written agreement. We may transfer our rights and obligations to another business that takes over MarkupReporter.
- Checking use. If we reasonably believe the Software is being used beyond your licence, you agree to confirm in writing, on request, how many Developers use it.
- Entire agreement. These terms are the whole agreement between us about the Software, and replace any earlier discussions.
- Severability. If any part of these terms is found unenforceable, the rest stays in force.
- No waiver. If we don't enforce a right straight away, we can still enforce it later.
- Third parties. No one other than you and us has any right to enforce these terms.
- Law. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
